Financial and Business Due Diligence

Financial and business due diligence is a necessary requirement for companies who wish to expand their customer base and/or into new markets through acquisitions of competing or complementary businesses, or seeking business disposals through carve-outs of business units or sale of existing entities, or restructuring and/or refocusing of business activities and portfolios in order to enhance returns to shareholders.

Due diligence is key to assess key critical issues facing the businesses our clients seek to acquire and to confirm that your understanding of the target business is accurate.

At Davisons, we structure the due diligence process for our clients to minimize transaction risks and maximize value:

  • Pre-deal evaluation to confirm if the target meets our clients’ acquisition criteria;
  • Analyze the target business in detail;
  • Efficient deal structuring cognizant of tax risks and the accounting framework; and
  • Executing the deal and ensuring issues identified during due diligence are factored into contracts appropriately
